Important Notice
Romarket is a marketplace for buying and selling Intellectual Property (IP) rights, business assets, and revenue interests associated with Roblox game projects. We do NOT facilitate the sale of Roblox accounts or groups themselves. Full Project acquisitions involve the transfer of copyright, source code, and commercial rights; percentage revenue-interest purchases and revenue-share financing convey the revenue rights specified in their own signed agreements.
1. Definitions#
1.1 "Game" or "Project"#
Refers to the complete collection of proprietary digital assets and intellectual property rights associated with a Roblox experience, including but not limited to:
- Source Code (.rbxl files, scripts, game logic)
- 3D Assets (.fbx, .obj files, models, animations)
- Graphic Designs (UI/UX elements, logos, branding materials)
- Audio Assets (music, sound effects, voice recordings)
- Intellectual Property Rights (copyright, trademarks, commercial rights)
- Business Goodwill (reputation, player base, brand recognition)
IMPORTANT: A full acquisition of a "Game" or "Project" on this platform constitutes an assignment of Copyright and Commercial Rights. For a full acquisition, the transfer of administrative access to a Roblox Group (if applicable) is solely the delivery mechanism for these intellectual property rights and is subject to Roblox Corporation's platform policies.
1.2 "Seller"#
An individual or entity that lists a Game/Project for sale on the platform. By listing a Project, the Seller represents that they are the sole creator and/or rightful owner of the Intellectual Property and are authorized to transfer all associated rights.
1.3 "Buyer"#
An individual or entity that acquires the Intellectual Property rights and business assets of a listed Game/Project, purchases a percentage revenue interest, or provides revenue-share financing for that Project.
1.4 "Asset Purchase Agreement"#
The legal agreement between Buyer and Seller that transfers Intellectual Property rights, source code, assets, and commercial rights. Where the deal-documents feature is available, this agreement (and related documents such as revenue-interest purchase agreements, revenue-share financing agreements, contributor IP assignments, and non-disclosure agreements) may be drafted and electronically signed on the platform. Romarket provides these as self-serve templates for convenience, is not a law firm, and does not provide legal advice; parties are encouraged to seek independent counsel for significant transactions.
1.5 "Deal Document"#
Any agreement drafted and/or electronically signed through the platform's deal-documents feature, including the Asset Purchase Agreement and its related documents. An electronically signed Deal Document is intended to be legally binding on the parties who sign it.
2. Acceptance of Terms#
By accessing and using Romarket ("the Service", "Platform", "We", "Us"), you ("User", "You") accept and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use this Service.
These Terms constitute a legally binding agreement between you and Romarket. Your use of the Service signifies your acceptance of these Terms.
3. Nature of Transactions - IP Transfer, Not Account Trading#
3.1 What We Facilitate#
Romarket is a business acquisition marketplace (similar to Flippa, MicroAcquire, or Empire Flippers) that facilitates the buying and selling of:
- Intellectual Property (IP) rights to Roblox game projects
- Source code and game assets
- Business goodwill and brand reputation
- Commercial rights to operate and monetize the game
- Player base and community relationships
- Percentage revenue interests and revenue-share financing under their applicable signed agreements
3.2 What We Do NOT Facilitate#
Romarket does NOT engage in "Real Money Trading" (RMT) or facilitate the sale of:
- Roblox user accounts
- Roblox groups as standalone assets
- Virtual currency or in-game items
- Account credentials or login information
- Any activity that violates Roblox's Terms of Service
3.3 Delivery Mechanism#
When a Roblox Group transfer is specified in the signed agreement, it serves solely as the technical delivery method for the agreed Project rights and administrative access. This is analogous to transferring hosting credentials, database access, or GitHub repository ownership in a traditional web business sale.
4. Seller Representations and Warranties#
4.1 Ownership and Authority#
By listing a Project for sale, you (the Seller) represent and warrant that:
- You are the sole creator and/or rightful owner of all Intellectual Property associated with the listed Project
- You have the full legal authority to transfer all IP rights, source code, and assets
- You are acting as a Sole Proprietor or authorized representative for the purposes of this business transaction
- The Project does not infringe upon any third-party intellectual property rights
- All information provided in the listing is accurate, complete, and not misleading
- You have the right to transfer any Roblox Group ownership if applicable to the sale
4.2 Disclosure Requirements#
Sellers must disclose:
- All material facts about the Project's performance and revenue
- Any outstanding liabilities, disputes, or legal issues
- Any third-party assets or licenses used in the Project
- The current state of the source code and assets
- Any platform violations or warnings received from Roblox
4.3 Control Check and Right-to-Sell Requirement#
Before listing, Sellers must demonstrate current control of the Roblox experience through our control-check system and represent that they have the legal right to sell everything included in the Project. A successful control check does not independently establish ownership of every asset, intellectual-property right, license, or off-platform deliverable. Sellers remain responsible for accurate ownership and transfer-right disclosures.
5. Buyer Acknowledgments and Agreements#
5.1 Purchase Understanding#
By making an offer or completing a purchase, you (the Buyer) acknowledge and agree that:
- For a full Project acquisition, you are purchasing the Commercial Rights and Intellectual Property of the listed Project under an Asset Purchase Agreement
- For a percentage revenue-interest purchase or revenue-share financing, you acquire the revenue rights specified in its applicable signed agreement
- You understand the transaction concerns business assets or revenue rights, not a Roblox account purchase
- Any transfer of a Roblox Group specified in the signed agreement is the delivery mechanism for the agreed Project rights
- Group transfers are subject to Roblox Corporation's platform limitations and policies
- You have conducted your own due diligence on the Project
- You accept the Project "as-is" with all faults unless otherwise specified in the listing
- You are responsible for ongoing compliance with Roblox's Terms of Service after purchase
5.2 Applicable Transaction Agreement#
A full Project acquisition is governed by an Asset Purchase Agreement (APA) between Buyer and Seller, providing for the transfer of the Project's Intellectual Property rights, including copyright, trademark rights, and commercial rights, from Seller to Buyer.
Percentage revenue-interest purchases are governed by their own signed Revenue Interest Purchase Agreement. Revenue-share financing is governed by its own signed Revenue-Share Financing Agreement, with the agreed payout percentage and either a cap, a duration, or both. These transactions do not inherently transfer Project IP or ownership of a Roblox account or group. Any agreed group or Project holding and delivery arrangements are specified separately in the applicable signed agreement and remain subject to Roblox's platform policies; Roblox accounts and groups are not sold as standalone assets.
5.3 Due Diligence#
Buyers are responsible for conducting appropriate due diligence before purchase, including:
- Verifying revenue claims and performance metrics
- Reviewing source code and asset quality
- Assessing the project's compliance with platform policies
- Understanding ongoing operational requirements
- Consulting with legal or technical advisors as needed
5.4 Buy now#
New listings start with Buy now enabled, and the Seller may turn it off. For a listing with Buy now enabled and an asking price, the Seller commits to proceed in good faith with the first eligible Buyer who uses Buy now at the asking price for the whole Project, or for an eligible percentage revenue interest at the same asking valuation. A Buyer who uses Buy now accepts the displayed price for that purchase, and the deal then proceeds as an accepted offer does. Where platform documents are available, Romarket prepares the applicable purchase agreement for both parties to review and sign. Otherwise, the parties confirm the details in Messages. The Buyer pays through escrow where integrated escrow is available; otherwise, Romarket coordinates payment and transfer with both parties.
Using Buy now does not by itself form a binding sale. The sale becomes binding only when both parties sign the purchase agreement, whether prepared on the platform where available or arranged separately. Until then, either party may end the deal. Buy now covers purchases of the whole Project or eligible percentage revenue interests where the listing accepts percentage offers; revenue-share financing remains negotiated by offer. Romarket may pause or limit Buy now for a listing or an account, for example while another deal on the listing is in progress, while the Seller has been inactive, or for an account that repeatedly ends Buy now deals without a valid reason.
6. User Accounts and Eligibility#
6.1 Account Registration#
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
6.2 Age Requirement#
You must be at least 13 years old to use this Service, matching Roblox's own minimum age; using the Service if you are under 13 is prohibited. If you are between 13 and 17 years old, you may not enter a binding agreement or settle a transaction yourself: a parent or legal guardian must sign the applicable agreement on your behalf, and that parent or legal guardian acts as the transaction party with our escrow provider for your side of the deal. By using Romarket, you represent that you meet these age requirements and, where you are 18 or older, that you are of legal age to form a binding contract.
6.3 Account Security#
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use.
7. Prohibited Conduct#
You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- List projects you do not own or have authority to sell
- Provide false, misleading, or fraudulent information in listings
- Engage in any form of market manipulation or price fixing
- Circumvent our escrow process or payment systems
- Use the Service to facilitate account trading, RMT, or illicit transactions
- Attempt to contact buyers/sellers outside the platform to avoid fees
- Harass, threaten, or defraud other users
- Use automated systems to scrape or data mine the platform
- Interfere with the proper functioning of the Service
- List projects that violate Roblox's Terms of Service or Community Standards
8. Escrow Services and Transaction Process#
8.1 Settlement#
Where Romarket's integrated escrow service (Escrow.com) is available for a transaction type, transactions must settle through it; escrow holds funds until the agreed transfer or revenue payout setup is completed and verified. Where integrated escrow is not yet available, Romarket coordinates settlement directly with both parties, and funds are exchanged per the parties' written agreement; Romarket does not hold funds.
8.2 Transaction Flow#
When a transaction settles through the integrated escrow service, it generally follows these steps:
- Offer Acceptance: Buyer and Seller agree on terms, through an accepted offer or the Buyer's use of Buy now (Section 5.4)
- Escrow Funding: Buyer deposits funds into escrow
- Transfer Process: Seller completes the transfer of Project rights and assets or the revenue payout setup specified in the signed agreement
- Inspection Period: Buyer has a defined window (see Section 8.3) to verify the agreed delivery
- Release or Dispute: Funds released to Seller or dispute initiated
8.3 Inspection Period#
When a transaction settles through the integrated escrow service, the inspection period defaults to 72 hours after the Buyer receives assets for full-purchase transactions, and to 168 hours (7 days) for percentage and revenue-share transactions. The parties may configure a different inspection period for a specific transaction, between 24 and 168 hours. During the inspection period, Buyers should:
- Verify the transfer of agreed source code and assets, or the agreed revenue payout setup, under the signed agreement
- Confirm administrative access to the Roblox Group (if applicable)
- Ensure the project matches the listing description
- Raise any disputes or issues
If the Buyer raises no dispute, funds are automatically released to the Seller approximately 24 hours after the inspection period ends.
8.4 Fees#
Romarket charges the Seller a platform fee only when a sale completes: 5% for sales up to $5,000.00, 4% for sales above $5,000.00 through $50,000.00, and 3% for sales above $50,000.00. The fee is calculated on the gross sale price, rounded to the nearest cent, and deducted from the Seller's proceeds as a separate broker fee in the escrow transaction.
The Buyer pays Escrow.com's base escrow fee. Escrow.com sets and calculates that fee under its then-current schedule. Depending on eligibility, location, and the selected funding or payout method, Escrow.com may also charge payment-processing, international-wire, intermediary-bank, or disbursement fees. Those third-party charges are not Romarket platform fees.
The Romarket platform-fee rate and amount recorded when an escrow transaction is created apply to that transaction and do not change if Romarket later revises its pricing. Fee changes apply prospectively to escrow transactions created after their stated effective date. The pricing page is a plain-language summary; if it conflicts with these Terms or the transaction-specific terms displayed by Escrow.com, these Terms and the recorded transaction terms control for that transaction.
9. Intellectual Property Rights#
9.1 Platform IP#
All content on the Romarket platform, including text, graphics, logos, and software, is the property of Romarket or its licensors and is protected by intellectual property laws.
9.2 User Content License#
By posting content on Romarket (listings, descriptions, images), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content for the purpose of operating the Service.
9.3 Roblox Trademarks#
Roblox and all related trademarks, service marks, and trade names are the property of Roblox Corporation. Romarket is NOT affiliated with, endorsed by, or sponsored by Roblox Corporation. Use of Roblox trademarks is for descriptive purposes only.
10. Disclaimers and Limitations of Liability#
10.1 Service "As-Is"#
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 No Guarantee of Results#
Romarket does not guarantee:
- That listings will result in successful sales
- The accuracy of seller-provided information
- The future performance or revenue of purchased projects
- The compliance of projects with Roblox's evolving policies
- That Roblox will permit group transfers or game operations post-purchase
10.3 Limitation of Liability#
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROMARKET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Fraudulent or inaccurate listings by sellers
- Disputes between buyers and sellers
- Actions taken by Roblox Corporation regarding purchased projects
- Loss of data or business information
- Any transaction conducted through the platform
IN NO EVENT SHALL ROMARKET'S TOTAL LIABILITY EXCEED THE AMOUNT OF FEES PAID TO ROMARKET IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
11. Indemnification#
You agree to indemnify, defend, and hold harmless Romarket, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Any false or misleading information you provide
- Any dispute with other users
12. Dispute Resolution#
12.1 Transaction Disputes#
For disputes arising from transactions, users must first attempt to resolve the issue through our platform's messaging system. If unresolved, the dispute will be handled through the escrow service provider's dispute resolution process.
12.2 Arbitration Agreement#
Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.
12.3 Class Action Waiver#
You agree that any arbitration or proceeding shall be limited to the dispute between you and Romarket individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Compliance with Roblox Terms#
While Romarket facilitates the transfer of Intellectual Property rights and business assets, users must independently ensure compliance with Roblox Corporation's Terms of Service and Community Standards. Romarket:
- Does not control or guarantee Roblox's acceptance of group transfers
- Is not responsible for enforcement actions taken by Roblox
- Recommends consulting Roblox's official policies before engaging in transactions
- Prohibits listings that clearly violate Roblox's stated policies
14. Account Termination#
14.1 By Romarket#
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms of Service
- Fraudulent activity or misrepresentation
- Disputes or chargebacks
- Violation of applicable laws
- Harm to other users or the platform
14.2 By User#
You may terminate your account at any time by contacting support. Termination does not absolve you of any obligations under active transactions or agreements.
14.3 Effect of Termination#
Upon termination:
- Your access to the Service will be immediately revoked
- Active listings will be removed
- Ongoing transactions must still be completed
- Certain provisions of these Terms will survive termination

17. Governing Law and Jurisdiction#
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes.
18. Severability#
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
19. Entire Agreement#
These Terms, together with the Privacy Policy and any other legal notices published by Romarket, constitute the entire agreement between you and Romarket concerning the Service and supersede all prior agreements and understandings.
